Welcome to Kuerate. These Terms and Conditions (“Terms”) govern your access to and use of the Kuerate website, platform, and related services (collectively, the “Service”) provided by Kuerate Ltd, a company incorporated in England and Wales (“Kuerate”, “we”, “us”, or “our”).

By creating an account, joining our waitlist, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

These Terms should be read alongside our Privacy Policy, which forms part of our agreement with you.

1. Definitions

In these Terms, the following words have the meanings set out below:

  • "Service"  The Kuerate platform, website (kuerate.com), and any associated features, tools, or communications.
  • "Professional User"  An individual who registers on Kuerate to manage their professional profile and receive or filter inbound outreach. Professional accounts are free.
  • "CRM User" An individual or organisation that subscribes to Kuerate’s paid CRM mode to send outreach requests to Professional Users.
  • "User" or "you" Any person who accesses or uses the Service, whether as a Professional User, CRM User, or visitor.
  • "Path A" The values-aligned outreach path, where a CRM User demonstrates charitable giving alignment with a Professional User. No per-message fee applies.
  • "Path B" The fee-gated outreach path, where a CRM User makes an optional charitable donation to a Professional User’s nominated cause, which may influence message delivery priority.
  • "Charitable Donation" A voluntary contribution made by a CRM User via our integrated third-party charity provider. Donations are independent of the Service contract and are processed entirely by the charity provider.
  • "Content" Any information, text, profile data, messages, or materials that you submit to or publish through the Service.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age to use the Service. By registering, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.

2.2 Account Registration

To access most features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information about yourself
  • Verify your professional identity using a valid business email address
  • Maintain and promptly update your account information
  • Keep your login credentials secure and not share access with others
  • Notify us immediately at marketing@kuerate.com if you suspect unauthorised access

Kuerate uses a magic link and email verification system for authentication. You are responsible for all activity that occurs under your account.

2.3 Business Email Verification

Professional Users are required to verify a business email address within 28 days of registration. During a grace period, full access to the Service is available. After the grace period, unverified accounts may have limited functionality until verification is completed. Verification restores full access immediately.

3. User Types and Platform Access

Understand the differences between Professional and CRM access levels.

Usage Requirements

CRM Users must adhere to our platform guidelines and service agreements when contacting professional members.

3.1 Professional Users

Professional accounts are free, allowing you to manage profiles and control inbound outreach preferences.

3.2 CRM Users

CRM mode is a paid subscription offering advanced tools for pipeline management, outreach, and targeting.

  • All outreach must be professional, relevant, and comply with these Terms
  • Charitable alignment claims made under Path A must be truthful. Any false declarations are a violation of these Terms
  • Any charitable donation made under Path B is voluntary, separate from the subscription contract, and processed by our third-party charity provider
  • The platform does not guarantee that outreach will be accepted by the Professional User

4. Fees, Subscriptions, and Billing

4.1 Professional Users

Access to the platform as a Professional User is free of charge. Kuerate reserves the right to introduce fees for new features or premium tiers with reasonable advance notice.

4.2 CRM Subscriptions

CRM mode is available via a paid monthly subscription. Subscription pricing is displayed on the platform at the time of sign-up and may vary by region (Australia, UK, USA). By subscribing, you authorise Kuerate (or its payment processor) to charge the applicable subscription fee on a recurring monthly basis.

4.3 Cancellation

You may cancel your CRM subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial subscription periods unless required by applicable law.

4.4 Charitable Donations

Any charitable donation made through Path B is separate from and independent of your subscription. Donations are processed by our third-party charity provider and are subject to the provider’s own terms. Kuerate does not process, hold, or control charitable payments. Kuerate earns a disclosed platform fee on Path B donations processed by the charity provider. This fee is disclosed to donors at the point of transaction.

4.5 Taxes

Subscription fees may be subject to GST, VAT, or other applicable taxes depending on your jurisdiction. These will be displayed at checkout. Tax deductibility of charitable donations is determined by your local tax authority and the charity provider, Kuerate makes no representation regarding deductibility.

5. Acceptable Use

5.1 You Agree To

  • Use the Service only for lawful professional purposes
  • Provide truthful, accurate information in your profile and outreach
  • Respect the preferences and response choices of other users
  • Comply with all applicable laws in your jurisdiction

5.2 You Must Not

  • Misrepresent your identity, employer, or charitable giving history
  • Send spam, unsolicited bulk messages, or harassing communications
  • Use the platform to promote illegal products or services
  • Scrape, harvest, or extract data from the platform without our written permission
  • Attempt to reverse-engineer, hack, or interfere with the platform’s technical systems
  • Circumvent any access controls, filters, or rate-limiting features
  • Use automated tools, bots, or scripts to interact with the platform
  • Post or transmit content that is defamatory, discriminatory, or otherwise harmful
  • Use the platform in any way that could damage Kuerate’s reputation or the integrity of the community

Violation of this Section may result in immediate suspension or termination of your account, at Kuerate’s sole discretion.

6. Your Content

6.1 Ownership

You retain ownership of the Content you submit to the Service. By submitting Content, you grant Kuerate a non-exclusive, worldwide, royalty-free licence to use, display, and store your Content solely for the purpose of operating and improving the Service.

6.2 Responsibility

You are solely responsible for your Content. Kuerate does not endorse any Content submitted by users and has no obligation to monitor Content. We reserve the right to remove any Content that violates these Terms or applicable law.

6.3 LinkedIn Import

If you choose to import data from LinkedIn, you confirm that you are doing so in compliance with LinkedIn’s terms of service. Kuerate is not affiliated with LinkedIn and assumes no liability for imported data.

7. Intellectual Property

All rights in the Kuerate platform, brand, logo, software, design, and content produced by Kuerate are owned by or licensed to Kuerate Ltd. Nothing in these Terms transfers any intellectual property rights to you.

You may not use the Kuerate name, logo, or brand assets without our prior written consent. Requests may be directed to marketing@kuerate.com.

8. Charitable Donations, Important Clarification

Charitable donations made through the Kuerate platform via Path B are entirely voluntary. They are not a condition of accessing the Service or sending outreach. The donation is a separate transaction between the CRM User and the nominated charity, facilitated by our third-party charity provider.

Kuerate does not solicit charitable donations on behalf of any charity. The platform facilitates the connection between donors and registered charities. Kuerate earns a disclosed platform fee on successful donations processed by the charity provider.

Professional Users acknowledge that accepting or declining outreach is their sole decision, regardless of whether a donation has been made. Receipt of a donation does not create any obligation to accept a connection request.

9. Privacy

Your privacy matters to us. Our Privacy Policy describes how we collect, use, and protect your personal data. By using the Service, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

10. Third-Party Services

The Service may integrate with or link to third-party services, including LinkedIn (for profile import) and our charity donation provider. Kuerate is not responsible for the practices, terms, or performance of any third-party service. Your use of third-party services is governed by their own terms and policies.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Kuerate disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Kuerate does not warrant that:

  • The Service will be uninterrupted, error-free, or free of viruses or other harmful components
  • Any outreach sent through the platform will result in a response, connection, or commercial outcome
  • Charitable donations will be tax-deductible in your jurisdiction
  • Profile information provided by users is accurate or up to date

12. Limitation of Liability

To the fullest extent permitted by applicable law, Kuerate and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if Kuerate has been advised of the possibility of such damages.

Kuerate’s total aggregate liability to you for any claim arising from or related to the Service shall not exceed the greater of: (a) the total subscription fees paid by you to Kuerate in the 12 months preceding the claim; or (b) £100 (or equivalent in your local currency).

Nothing in these Terms limits Kuerate’s liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kuerate Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any Content you submit to the Service
  • Any false or misleading information you provide, including false charitable giving declarations

14. Suspension and Termination

14.1 By You

You may close your account at any time via your account settings or by contacting marketing@kuerate.com. Closing your account does not entitle you to a refund of any subscription fees paid.

14.2 By Kuerate

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have:

  • Violated these Terms
  • Engaged in fraudulent, abusive, or illegal activity
  • Provided false information, including false charitable giving declarations
  • Acted in a manner harmful to other users or the Kuerate community

14.3 Effect of Termination

On termination, your right to access the Service ceases immediately. We may retain certain data as required by law or as described in our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, applicable law, or our business. When we make material changes, we will notify you by email and by posting a notice on the platform at least 14 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of England and Wales. For users in Australia, the Australian Consumer Law and other applicable federal and state laws also apply. For users in the United States, applicable federal and state laws also apply.

16.2 Dispute Resolution

We encourage you to contact us first at marketing@kuerate.com if you have a dispute. We will try to resolve it informally. If we cannot resolve a dispute within 30 days, either party may pursue their legal remedies in the appropriate courts.

16.3 Australian Consumer Law 

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kuerate regarding your use of the Service and supersede any prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Kuerate may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

17.5 Force Majeure

Kuerate shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
